Introduction

These Terms and Conditions govern the ABX Tool S.r.l. Pro Member Program (the “Program”), which provides exclusive benefits to the Pro Members of ABX Tool S.r.l. (“we”, “our”, “us”). Participation in the Program is limited to Pro Members who make Qualifying Purchases (as defined below) through our Authorized Channels.

“Authorized Channels” means: (i) the official ABX Tool S.r.l. website; and (ii) ABX Tool S.r.l. mobile applications. The Program does not extend to purchases made through third-party platforms or resellers.

By engaging in this Program, any Pro Member (“you”, “Member”, “Pro Member”) consents to abide by these Terms and Conditions. Before registering as a Pro Member, you must ensure that you have fully understood and agreed to the following terms. If you do not agree, please do not proceed with the registration.

  1. You declare that you qualify as a Pro Member and will use the Program exclusively for business-related activities.
  2. The membership term for each Pro Member is valid for one (1) year from the date of registration. On renewal, qualifying purchases reset for a new membership term.
  3. ABX Tool S.r.l. may modify, update or discontinue these Terms or the Program at any time, with or without advance notice. It is your responsibility to review these Terms periodically.
  4. ABX Tool S.r.l. may, at its sole discretion, terminate your Pro Membership in whole or in part for any reason, including fraudulent behaviour, inaccurate representations, misuse of the Program, or violation of these Terms.
  5. You may contact us at any time to request the freezing or revocation of your Pro Membership. Once frozen or revoked, you are no longer entitled to the associated benefits.
  6. Pro Members hold no proprietary interest in any information, offers, benefits, promotions, coupons, accrued payments, discounts or events related to the Program.
  7. Your Pro Membership may not be transferred, assigned or sold, whether for consideration or otherwise.
  8. ABX Tool S.r.l. shall not be liable for any direct, indirect, incidental, consequential or punitive damages arising from your participation in the Program.

Registration and Qualification

A. Begin registration

To participate, visit an Authorized Channel and complete the registration process using your true and valid email address or phone number, after fully understanding and agreeing to these Terms. Completing registration signifies your full acceptance of all Terms herein.

B. Registration caution

Only one Pro Membership account can be associated with a valid phone number or email address, which serves as your unique Pro Member ID. You must provide true, complete and accurate information. Any false or omitted information may lead to denial of registration or revocation of your membership.

C. Qualification verification

To verify your qualification, you must log in to your Pro Membership account when placing an order. ABX Tool S.r.l. may share your information with third-party service providers to confirm your qualification.

D. Information access

You may access your Pro Membership information, including your qualifying purchase history, by logging into “My Account”. ABX Tool S.r.l. reserves the final right to decide which products and services qualify as Qualifying Purchases.

E. Account conversion

  1. Personal members can convert to Pro Members by filling in their company information through the conversion option in their account. We match the corresponding Pro level according to the past Qualifying Purchase amount in the personal account.
  2. Because the Pro Member program is not available on all sites, please confirm that your site has launched the Program before switching account types.
  3. The Pro Member account does not have a points option. Points in the personal account are converted into coupons of equal or greater value. Points deducted for refunds or cancellations are not converted.
  4. The Pro Member account cannot be converted back into a Personal account. Confirm that you need a Pro Member account before proceeding.

Benefits

To enrol, you must create a Pro account and agree to these Terms. The Program provides benefits to Pro Members who make Qualifying Purchases on Authorized Channels:

  1. Qualifying Purchasing refers to the actual amount paid by a Member in good standing for designated products or services, calculated on an annual basis.
  2. Qualifying Purchasing excludes taxes, shipping fees, returns and certain special products or promotional activities.
  3. The premise for accumulating Qualifying Purchasing is that you are registered and logged in at the time of purchase.
  4. Qualifying Purchasing is calculated in euros; purchases in other currencies are converted at the prevailing exchange rate.

When your cumulative Qualifying Purchasing reaches a specific tier, you become eligible for that tier's benefits during the Program term. There are three (3) distinct tiers (“Pro Membership Level”):

  • Below €25,000, Pro 1 tier.
  • Above €25,000 but not exceeding €250,000, Pro 2 tier.
  • Above €250,000, Pro 3 tier.

1. Pro Discount

Pro Discount increases your exclusive discount level as your qualifying purchases accumulate. To receive benefits you must be a registered member and logged in when making a qualifying purchase. If a return or cancellation drops your qualifying purchases below your current level, your level is adjusted accordingly after the refund is processed.

2. Business Tools

You have access to online tools to help you manage and grow your business, including creating quotes, viewing and tracking your purchase history, and managing your order invoices.

3. Personalised Offers

ABX Tool S.r.l. may run promotions for members, governed by their Official Rules. We may also send Members exclusive coupons for the purchase of eligible products.

4. Exclusive Sales and Events

Depending on your level status, programme participation or membership type, you may have access to exclusive sales and events. These may be one-off events and may vary from one period to another.

5. Preferential Pricing for Some Products

On the basis of Pro Discount, you can consult dedicated service personnel for more favourable pricing on a small number of products.

6. Priority Service

When your qualifying purchase amount reaches a certain requirement, you can use dedicated support channels (phone, email and live chat) to obtain priority support.

Privacy

A. We collect the following categories of information to provide products and services, administer the Program and provide benefits, and for other operational, legal and compliance purposes:

  1. Contact information, such as name, telephone number, Pro Member ID, and postal and email address.
  2. Account information, such as login details, account preferences and other account details.
  3. Billing information, including name and billing and delivery address.
  4. Payment card details, collected by our third-party payment processor on our behalf.
  5. Purchase history and information regarding the benefits.

B. By participating in the Program and providing this information, you agree that we may use it to manage your participation, send you transaction records, and contact you for non-marketing purposes. If you do not agree, please do not register or use the Pro Membership.

C. We respect your privacy and will collect, store and use your information in accordance with the law. We will not sell or rent your personal information. For details, please refer to the ABX Tool S.r.l. Privacy & Security statement.

General

A. ABX Tool S.r.l. reserves the right to modify these Terms at any time; modifications are effective immediately upon posting. It is your responsibility to review these Terms periodically for changes.

B. ABX Tool S.r.l. reserves the final right of interpretation of all Terms herein. If you have any questions regarding these Terms, your Pro Membership information or the Program, please contact the ABX Tool S.r.l. Customer Service Center.
